Terms & Conditions for torPanel
1. Introduction
1.1 Parties to the Agreement: These Terms and Conditions ("Terms") constitute a legally binding agreement between CROCKY SRL, a company duly incorporated and registered in Romania, having its registered office at Dragaica 5, Balasan, Dolj, Romania, with Unique Registration Code: RO50515950 and Trade Registry Number: J2024020698007 ("Provider"), and any entity or individual ("Customer" or "Hosting Provider") that installs, accesses, or uses the software product known as torPanel ("Plugin").
1.2 Purpose of the Plugin: torPanel is a proprietary cPanel extension developed and licensed by CROCKY SRL. The Plugin enables hosting providers to integrate Tor hidden services into conventional web hosting environments managed through cPanel, a third-party web hosting control panel.
1.3 Scope of Application: These Terms apply exclusively to the use of torPanel as a software product. They do not replace, modify, or supersede any other contractual agreements between CROCKY SRL and its Customers, including but not limited to the general Terms and Conditions applicable to web hosting services offered by CROCKY SRL.
1.4 Acceptance of Terms: By installing, activating, or otherwise using torPanel, the Customer acknowledges that they have read, understood, and agreed to be bound by these Terms. If the Customer does not agree to these Terms, they must refrain from installing or using torPanel.
1.5 Relationship to Hosting Providers: torPanel is intended for use by hosting providers who may, at their sole discretion, enable or disable the Plugin for their own hosting packages. CROCKY SRL provides torPanel solely as a software solution and assumes no responsibility for the manner in which hosting providers or their end users utilize the Plugin.
1.6 Third-Party References: Tor: torPanel relies on the Tor network, an open-source project that enables anonymous communication and hosting of hidden services. CROCKY SRL is not affiliated with the Tor Project and assumes no responsibility for the operation, stability, or governance of the Tor network. cPanel: torPanel is designed to integrate with cPanel, a third-party web hosting control panel. CROCKY SRL is not affiliated with cPanel, LLC and assumes no responsibility for the operation, licensing, or governance of cPanel software.
2. Definitions
2.1 "Plugin" or "torPanel": Proprietary software developed and licensed by CROCKY SRL, consisting of (i) a helper service that hosts a local webserver, and (ii) a cPanel integration module, together enabling the creation and management of Tor hidden services within a cPanel hosting environment.
2.2 "Customer" or "Hosting Provider": Any entity or individual that installs, accesses, or uses torPanel on its servers, and that may, at its sole discretion, offer torPanel functionality to its own end users as part of hosting packages.
2.3 "End User": Any individual or entity that consumes hosting services provided by a Customer, where such services include access to torPanel functionality.
2.4 "License": The paid subscription agreement under which torPanel is provided, available on a monthly or yearly basis. Each license may be re-issued up to three (3) times in cases of server reinstallation or migration.
2.5 "Tor": The open-source network project that enables anonymous communication and hosting of hidden services. torPanel relies on the Tor service but is not affiliated with, endorsed by, or controlled by the Tor Project.
2.6 "cPanel": The third-party web hosting control panel software developed by cPanel, LLC. torPanel is designed to integrate with cPanel but is not affiliated with, endorsed by, or controlled by cPanel, LLC.
2.7 "Misuse": Any unauthorized or prohibited use of torPanel, including but not limited to fraudulent activity, redistribution of installers or executables, or use in violation of applicable laws or lawful requests from authorities.
3. License & Usage Rights
3.1 Grant of License: Subject to compliance with these Terms, CROCKY SRL grants the Customer a limited, non-exclusive, revocable license to install and use torPanel on its servers for the duration of the paid subscription period. The license is provided strictly as Software-as-a-Service (SaaS) and is conditioned upon timely payment of applicable fees.
3.2 Subscription Model: Licenses are available on a monthly or yearly subscription basis. The Customer is responsible for maintaining an active subscription in order to continue using torPanel. Failure to maintain an active subscription may result in suspension or termination of access.
3.3 Resale Rights: Customers may resell torPanel licenses to their own end users as part of hosting packages. Such resale must be conducted in compliance with these Terms and applicable laws.
3.4 Redistribution Restrictions: Customers may not redistribute, copy, or otherwise make available torPanel installers, executables, or source code. Distribution of the software itself remains restricted to CROCKY SRL.
3.5 License Re-Issuance: Each license may be re-issued up to three (3) times in cases of server reinstallation, migration, or other technical necessity. Requests for additional re-issuance beyond this limit may be denied at CROCKY SRL's sole discretion.
3.6 Non-Transferability: Except as expressly permitted under Clause 3.3 (Resale Rights), licenses are non-transferable and may not be assigned, sublicensed, or otherwise conveyed to third parties without prior written consent from CROCKY SRL.
3.7 Reverse Engineering Prohibition: The Customer shall not, and shall not permit any third party to, reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of torPanel, whether in whole or in part. Any such activity constitutes a material breach of these Terms and entitles CROCKY SRL to immediate termination of the license without refund.
3.8 Warranty Disclaimer: torPanel is provided strictly "as-is" and "as-available." CROCKY SRL makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Customer acknowledges that torPanel may be subject to interruptions, limitations, or errors, and CROCKY SRL shall not be liable for any damages arising from such circumstances.
4. Installation & Technical Scope
4.1 Installation Components: The installation of torPanel consists of two distinct components: (a) Tor Service Installation via supported package managers (dnf or yum); and (b) Helper Service Installation: a proprietary helper service developed by CROCKY SRL, hosting a local webserver that facilitates communication between the Tor service and the cPanel plugin interface.
4.2 Integration with cPanel: torPanel integrates directly with cPanel, enabling Customers to manage Tor hidden services through the cPanel interface. The Plugin does not operate as a standalone service and requires a functioning cPanel environment for proper use.
4.3 Service Creation: torPanel does not automatically generate hidden services. The Customer must manually access the plugin interface to create a Tor hidden service. At present, only one Tor hidden service per cPanel account is supported.
4.4 Domain Requirement: A normal domain or subdomain is required to use torPanel. It is not possible to configure a .onion address as the primary cPanel domain. The Customer must ensure that at least one valid domain or subdomain is present before enabling torPanel functionality.
4.5 Resource Allocation: torPanel does not enforce or manage resource limits, including but not limited to bandwidth, storage, or CPU usage. Resource allocation and management remain the sole responsibility of the Customer and are subject to the Customer's own hosting policies.
4.6 Network Stability Disclaimer: torPanel does not guarantee uptime, availability, or stability of the Tor network. The Customer acknowledges that Tor services may be subject to interruptions, instability, or performance limitations outside the control of CROCKY SRL. CROCKY SRL shall not be held liable for any damages arising from such interruptions or limitations.
5. Security & Privacy
5.1 Data Storage: torPanel stores only minimal technical information necessary for operation of the Plugin, such as the server IP address where the Plugin is installed, and license validation data. No personal data of Customers or End Users is collected, processed, or retained by CROCKY SRL through torPanel.
5.2 Traffic Monitoring: torPanel does not monitor, log, intercept, or otherwise control Tor traffic. All traffic transmitted through Tor hidden services created via torPanel remains outside the scope of CROCKY SRL's control and responsibility.
5.3 Content Responsibility: Customers and End Users are solely responsible for the content hosted via torPanel. CROCKY SRL does not review, moderate, or censor hosted content and shall not be held liable for any material transmitted or published through Tor services enabled by the Plugin.
5.4 Hosting Provider Duties: The duty to moderate, restrict, or remove content hosted via torPanel lies exclusively with the hosting provider. CROCKY SRL shall continue to provide torPanel services to Customers regardless of content hosted, unless otherwise required by law or lawful authority.
5.5 Privacy Assurance: torPanel does not collect or process personal information for marketing, profiling, or analytics purposes. Any data stored or processed is strictly limited to technical requirements necessary for license validation and Plugin functionality.
6. Compliance & Liability
6.1 Content Restrictions: torPanel itself does not impose content restrictions. All rules regarding acceptable use, prohibited content, and compliance with applicable laws are governed exclusively by the hosting provider's own Terms and Conditions. CROCKY SRL shall not be held responsible for the nature, legality, or appropriateness of any content hosted via torPanel.
6.2 Misuse of the Plugin: The Customer shall not engage in misuse of torPanel, including but not limited to fraudulent activity or attempts to circumvent licensing mechanisms; redistribution of installers, executables, or source code in violation of Clause 3.4; or use of torPanel in violation of applicable laws or regulations. Any misuse entitles CROCKY SRL to revoke or suspend the Customer's license immediately, without refund or liability.
6.3 Lawful Requests by Authorities: CROCKY SRL reserves the right to suspend or revoke licenses upon receipt of lawful requests from competent authorities, including law enforcement agencies. If authorities identify illegal websites hosted via torPanel and formally request license revocation, CROCKY SRL shall comply without liability to the Customer or End Users.
6.4 Disclaimer of Liability: To the maximum extent permitted by law, CROCKY SRL disclaims all liability for downtime, instability, or performance limitations of the Tor network; abuse reports, complaints, or claims arising from content hosted via torPanel; and any damages, whether direct, indirect, incidental, consequential, or punitive, arising from the installation, use, or inability to use torPanel.
6.5 As-Is Provision: torPanel is provided strictly "as-is" and "as-available." CROCKY SRL makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Customer acknowledges that torPanel may be subject to interruptions, limitations, or errors, and accepts full responsibility for its use.
7. Governing Law
7.1 Applicable Law: These Terms shall be governed by and construed in accordance with the laws of the European Union, supplemented where necessary by the national laws of Romania, without regard to conflict of law principles.
7.2 Jurisdiction: Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Romania. CROCKY SRL reserves the right, at its sole discretion, to bring proceedings in the courts of any country where the Customer is domiciled or operates, particularly in cases involving misuse, infringement, or enforcement of intellectual property rights.
7.3 International Distribution: While torPanel is governed by EU and Romanian law, CROCKY SRL may distribute the Plugin outside the European Union. Customers located outside the EU acknowledge and agree that these Terms remain binding regardless of their jurisdiction, and that CROCKY SRL may enforce its rights internationally to the fullest extent permitted by applicable law.
7.4 Compliance with Local Laws: Customers outside the EU are responsible for ensuring compliance with all applicable local laws and regulations in their jurisdiction. CROCKY SRL disclaims liability for any failure by Customers or End Users to comply with non-EU legal requirements.
8. Termination & Refunds
8.1 Termination by CROCKY SRL: CROCKY SRL reserves the right to suspend or revoke any license immediately and without prior notice in the following circumstances: misuse of torPanel, including but not limited to fraudulent activity, redistribution of installers or executables, or violation of applicable laws; receipt of lawful requests from competent authorities requiring suspension or revocation of licenses; or non-payment or failure to maintain an active subscription.
8.2 Termination by Customer: The Customer may terminate its subscription at the end of any billing cycle by providing written notice of cancellation in accordance with CROCKY SRL's billing policies. Termination takes effect at the conclusion of the current subscription period, and the Customer remains liable for all fees due up to that date.
8.3 Refunds & Withdrawal Rights: For consumers in the European Union, a statutory 14-day right of withdrawal applies to distance contracts under applicable law. Business customers (B2B) are not covered by consumer withdrawal rights; CROCKY SRL may, at its discretion, offer a 7-day commercial refund policy for business customers. Refunds, where applicable, are processed through CROCKY SRL's billing system and accounting records and may require proof of purchase and license deactivation.
8.4 Effect of Termination: Upon termination of a license, the Customer shall immediately cease use of torPanel; all rights granted under these Terms automatically expire; and CROCKY SRL may disable access to torPanel without further obligation.
8.5 Survival of Provisions: Termination of a license shall not affect the validity or enforceability of provisions relating to intellectual property, reverse engineering prohibition, liability disclaimers, governing law, severability, or any other clauses which by their nature are intended to survive termination.
9. Miscellaneous
9.1 Entire Agreement: These Terms constitute the entire agreement between CROCKY SRL and the Customer with respect to the use of torPanel. They supersede all prior or contemporaneous communications, proposals, or agreements, whether oral or written, relating to the subject matter herein.
9.2 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
9.3 No Waiver: Failure by CROCKY SRL to enforce any provision of these Terms shall not constitute a waiver of its rights to enforce such provision or any other provision at any time thereafter.
9.4 Force Majeure: CROCKY SRL shall not be liable for any failure or delay in performance arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, power failures, or interruptions to the Tor network or cPanel services.
9.5 Assignment: The Customer may not assign or transfer its rights or obligations under these Terms without prior written consent from CROCKY SRL. CROCKY SRL may assign its rights and obligations under these Terms in connection with a merger, acquisition, or sale of assets, provided that such assignment does not diminish the Customer's rights under these Terms.
9.6 Notices: All notices or communications required under these Terms shall be made in writing and delivered to CROCKY SRL at its registered office: Dragaica 5, Balasan, Dolj, Romania, or via email to notice@torpanel.net, or to such other address or email as CROCKY SRL may designate in writing.
9.7 Abuse Reports: Reports of abuse, misuse, or unlawful activity relating to torPanel services shall be directed to abuse@torpanel.net. CROCKY SRL will review such reports and may take appropriate action, including suspension or revocation of licenses, in accordance with Clause 6.3 (Lawful Requests by Authorities) and Clause 8.1 (Termination by CROCKY SRL).
